The terms and conditions governing your use of HSE Benchmark

1. Acceptance of terms

By accessing or using the HSE Benchmark platform ('Service'), you agree to be bound by these Terms of Use ('Terms'). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.

2. Description of service

HSE Benchmark provides a cloud-based software platform for health, safety, and environment (HSE) maturity assessments, performance benchmarking, findings management, and reporting. The Service is provided on a subscription basis as described on our pricing page. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

3. Account registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

4. Subscription and payment

Access to the Service requires a paid subscription. Subscription fees are charged in advance on a monthly or annual basis as selected at checkout. All fees are exclusive of applicable taxes. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are not provided for partial subscription periods except where required by law. We reserve the right to change pricing with 30 days' notice.

5. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: use the Service to transmit unlawful, harmful, or fraudulent content; attempt to gain unauthorised access to any part of the Service or its infrastructure; reverse-engineer, decompile, or disassemble the Service; resell or sublicense the Service without our written consent; or use the Service in any way that could damage, disable, or impair it.

6. Intellectual property

The Service, including all software, content, trademarks, and materials, is owned by HSE Benchmark and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription period solely for your internal business purposes. You retain ownership of all data you input into the Service ('Customer Data').

7. Customer data

You grant us a limited licence to process your Customer Data solely to provide and improve the Service. We will not access your Customer Data except to provide the Service, respond to support requests, or as required by law. You are responsible for ensuring you have the right to submit any data to the Service and that doing so complies with applicable laws.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimers

The Service is provided 'as is' and 'as available' without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. HSE Benchmark assessments and benchmarks are informational tools and do not constitute legal, regulatory, or professional safety advice.

10. Limitation of liability

To the maximum extent permitted by law, HSE Benchmark shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with the Service. Our total aggregate liability to you shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these Terms limits liability for death, personal injury, or fraud.

11. Termination

Either party may terminate the subscription at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law. Upon termination, your right to use the Service ceases. We will retain your Customer Data for 30 days after termination, after which it will be deleted. You may export your data before termination.

12. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13. Changes to these terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email or via the platform. Your continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
